Meeting Minutes
February 2, 2017
Call to order
Daniel Nason called to order the regular meeting of the Holden Department of Public Works Facility Committee (DPW FC) at 7:02 on February 2, 2017 at Holden Senior Center, 1130 Main Street, Holden, MA .

Review and approve meeting minutes
Minutes from January 19, 2017 to be approved at a future meeting, due to lack of voting quorum from that meeting.
Review and approve annual report submission
Mr. Woodsmall passed out Committee’s Annual Report Submission. The committee discussed revisions, edits and changes.
Mr. Kempton made a motion to approve the Annual Report Submission from with edits.
Mr. Johnson seconded the motion. Vote approved by majority vote.
Acquisition agreement updates
Discussion regarding the timing of receiving the signed Purchase and Sale agreement, Weston and Sampson completing their report of the property and having the committee digest the results of the report. It was agreed that the Special Town Meeting be postponed to a date TBD.
Site evaluation updates
Mr. Woodsmall passed out the Preliminary Title Report from Gould Title Company, Inc. and discussed potential title issues that are being resolved.
Mr. Woodsmall reported that Stephen Madaus submitted a draft application to the State Attorney General office with the Covenant Not To Sue. It will be reviewed and sent back with comments to Mr. Madaus. The Committee will then submit it to the abutters and past property owners will be notified.
Warrant article updates
Mr. Woodsmall passed out a memo from Town Counsel regarding the Pollution Insurance policy that was previously quoted. This policy would only cover new pollution conditions that are caused by us as new owners of the property. It does not cover any pollution that currently exists on the property.
Mr. Nason restated that it isn’t the type of policy the committee had wanted. He asked if there was one out there.
Mr. Randall said that he doesn’t believe the policy reads that way and would like to review it with Town Counsel.
Outreach efforts for February Town Meeting
Mr. Nason asked the Committee to rally together and start pushing info about the DPW and what they do out to the public.
Discussion took place about using a shared drive/cloud to upload media as well as the use of professional media people.

February 13, 2017 at Holden Senior Center, 1130 Main Street, Holden, MA .

Mr. Johnson made a motion to adjourn. Mr. Cross seconded the motion. Vote approved by majority vote. Meeting adjourned at 7:53.
